When to use this template

SEO is a long-game service that clients often misunderstand. Results take months, deliverables are less tangible than design or code, and scope creep comes in the form of constant strategy pivots and ad hoc requests. This template is explicit about what is included monthly, what results are not guaranteed, and what "ongoing optimisation" actually means.

Project Overview

Sets the context, parties, and purpose. This is the first thing a client reads and the last thing they remember.

This Statement of Work governs the SEO services provided by [Agency Name] ("Agency") to [Client Name] ("Client") for the website at [URL]. The Agency will deliver the monthly services described below with the goal of improving organic search visibility, traffic, and lead generation over the agreed term. SEO is a long-term discipline — results are not guaranteed and depend on factors outside the Agency's control including algorithm changes, competitive landscape, and website performance. This SOW defines exactly what the Agency will do each month.

The complete list of what you will deliver. If it is not listed here, you are not obligated to do it.

Out of Scope

Equally important as scope. Explicitly naming exclusions kills the "I thought that was included" conversation.

Revision Policy

The most violated clause in any SOW. Define exactly what a revision is, how many are included, and what extra costs.

Monthly reports are delivered once and not subject to revision cycles. Keyword research and strategy documents include one (1) round of feedback. Requests to substantially change keyword targets or strategy direction after sign-off are treated as a re-scoping exercise.

Payment Terms

Protect your cash flow. Late payment clauses and upfront deposits are non-negotiable for sustainable agencies.

Monthly retainer: $[Amount]/month, invoiced on the 1st of each month and payable within ten (10) business days. Minimum engagement: six (6) months — SEO requires sustained effort to show meaningful results. Early termination requires thirty (30) days' written notice after the minimum term. All work product (reports, audits, keyword research) delivered to date remains the Client's upon termination. Overdue invoices suspend all services.

Change Order Policy

The scope creep firewall. Every out-of-scope request routes through here — no exceptions.

Link building campaigns, content writing, local SEO buildouts, penalty recovery, and any work not listed in the monthly scope require a written Change Order. The Agency will provide estimates within three (3) business days.

Assumptions & Dependencies

Shift responsibility for inputs to the client. If they don't deliver, the timeline moves.

  • Client will provide admin access to Google Search Console, Google Analytics 4, and the website CMS within the first week
  • Client (or a content writer) will write content based on the Agency's briefs — the Agency does not write content under this SOW
  • Client is responsible for implementing technical recommendations that require developer access beyond the included hours
  • Results depend on algorithm updates, competitive landscape, and content quality — the Agency does not guarantee specific rankings or traffic outcomes
  • Minimum six-month engagement: SEO is a long-term investment and meaningful results typically require three to six months
  • The website must be technically functional and indexable at project start — the Agency is not responsible for pre-existing penalties

Acceptance Criteria

Define "done" before you start. Silence-equals-acceptance clauses prevent endless feedback loops.

Monthly deliverables are accepted when reports and strategy documents are delivered and not disputed within five (5) business days. The engagement concludes at the end of the agreed term or upon thirty (30) days' written notice after the minimum term. All reports, audits, and keyword research documents are delivered to the Client on termination.

Frequently asked questions

Can I guarantee SEO results in the SOW?

No. Ranking and traffic outcomes depend on Google's algorithm, competition, and content quality — none of which you fully control. The assumptions section includes clear language on this.

Why a 6-month minimum?

SEO takes time. A 3-month engagement rarely produces meaningful results and leads to disappointed clients. A 6-month minimum aligns expectations and gives you a fair runway to demonstrate value.

Should link building be included?

It is excluded here because it is a distinct service with its own pricing model. If you include it, add a separate section with specific deliverables — e.g. X high-DA placements per month.
